The Company<\/h3>

The company was established on October 11, 2016, as a result of the spin-off from the company UPCnet, which was founded on November 24, 1999. 100% of the shares are owned by the Universitat Polit\u00e8cnica de Catalunya \u00b7 BarcelonaTech (UPC).<\/p>

The registered and fiscal address is at Carrer Gran Capit\u00e0, number 2-4, LEIA UPC Building, Barcelona 08034. The tax identification number (NIF) is B66869033.<\/p>

Functions and Activity<\/h3>

The corporate purpose of the Company, as an entity within the group of the Universitat Polit\u00e8cnica de Catalunya, is to valorize the technology generated by the university and to transfer the results of research in the field of ICT to the productive sector.<\/p>

This valorization and knowledge transfer to the productive sector is considered a general interest activity, in accordance with Article 1.2 of Organic Law 6\/2001 of December 21, which defines it as a function of the University in service to society, all within the framework of coordination with the agents of the science and technology system.<\/p>

This is materialized through the contribution to the productive sector of applications resulting from scientific research in the field of ICT; from technological development and innovation; within the area of expertise of the Universitat Polit\u00e8cnica de Catalunya, including research applications in analytics and Big Data technologies, continuous learning, and ICT infrastructure management.<\/p>

Legal Framework<\/h3>

The Company is governed by its corporate bylaws, the current Spanish Capital Companies Act (Ley de Sociedades de Capital), and the Public Sector Contracts Law (Ley de Contratos del Sector P\u00fablico).<\/p>

Shareholders\u2019 Meeting<\/h3>

The Shareholders\u2019 Meeting is the body that represents the ownership of the company and appoints its management through the Board of Directors. It is composed of the Rector of UPC, acting as the representative of the sole shareholder of the Company.<\/p>

Board of Directors<\/h3>

The appointment and composition of the members of ThinkUPC\u2019s Board of Directors are governed by Agreement no. 124\/2004 of the UPC Governing Council, in accordance with Article 40 of the UPC Statutes, approved by Decree 225\/2003 of September 23. This article states that \u201cthe creation, modification, and dissolution of legal entities within the UPC Group, as well as their integration into other entities, requires the approval of the Governing Council and the Social Council, upon the proposal of the Rector.\u201d<\/p>

The members of the Board of Directors do not receive any remuneration for holding this position.<\/p>
